Terms Of Service

These Terms of Service govern the use of the organization’s services and any associated websites, platforms, or deliverables. By engaging with the organization or using its services, a user or client agrees to be bound by these terms. If a party does not agree, they must not access or use the services.

Acceptance of terms

Engagement with the organization—whether by submitting a request for proposal, signing a statement of work, or using any of the provided digital resources—constitutes acceptance of these Terms of Service. Specific projects may be governed by additional written agreements; in the event of conflict, those signed agreements will take precedence.

Service usage

Clients agree to provide accurate information necessary for the organization to perform services and to cooperate reasonably during engagements. Users must not use any platform, material, or deliverable provided by the organization in a manner that violates law, infringes on third-party rights, or compromises system integrity. The organization reserves the right to suspend access where misuse or non-cooperation impedes safe and lawful operations.

Intellectual property

Unless otherwise agreed in writing, the organization retains ownership of pre-existing intellectual property, methodologies, templates and tools used to deliver services. Upon full payment and as specified in a signed agreement, ownership of bespoke deliverables created specifically for a client will transfer to that client, subject to any underlying third-party licenses. The organization may retain copies for record-keeping and internal quality purposes.

Limitation of liability

To the maximum extent permitted by law, the organization’s liability for damages arising out of or related to the services is limited to the fees paid for the specific services at issue. In no event shall the organization be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits or business interruption, even if advised of the possibility of such damages. Some jurisdictions do not allow limitations on liability; where such limitations are unenforceable, liability shall be limited to the fullest extent permitted by law.

Termination

Either party may terminate an engagement in accordance with the terms specified in a signed agreement or statement of work. The organization may also suspend or terminate access to services for cause, including non-payment, material breach, or misuse. Upon termination, clients remain responsible for payment for work completed up to the termination date, and the organization will deliver any work products due under the agreed termination provisions.

Changes to terms

The organization reserves the right to modify these Terms of Service. Material changes will be communicated in a manner consistent with the scale and nature of the change; for ongoing engagements, modifications will not apply retroactively to services already delivered unless both parties consent in writing. Continued use of services following notice of changes constitutes acceptance of the updated terms.
